A nationwide industrial distributor and its M&A counsel engaged CBIZ on an accelerated timeline in connection with a complex transaction valued at more than $500 million. As a condition to closing, the parties required both a fairness opinion for the benefit of the selling shareholders and a solvency opinion related to long-tail product liability matters at the retained legal entity for the benefit of the buyer and seller.
